Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vault platform and related services provided by BBTechAdvisors LLC ("BBTechAdvisors," "we," "our," or "us"), including the website at vault.bbtechadvisors.com and any associated mobile applications (collectively, the "Service").

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or the entity you represent, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service.

1. Description of Service

Vault is a multi-tenant IT management platform designed for IT service providers and businesses. The Service provides tools for managing organizations, devices, contacts, locations, documents, credentials, and related IT infrastructure information. The Service includes web-based access and mobile application access, with data synchronized across all platforms.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

2. Account Registration and Security

2.1 Account Creation

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. Accounts are provisioned by BBTechAdvisors or by a designated company administrator.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your Vault account.
• Immediately notify us at admin@bbtechadvisors.com of any unauthorized use of your account or any other security breach.
• Not share your account credentials with any other person.
• Log out of your account at the end of each session, particularly on shared or public devices.

BBTechAdvisors will not be liable for any loss or damage arising from your failure to protect your account credentials.

2.3 Role-Based Access

Access to features and data within the Service is governed by role-based permissions (Administrator, Member, Viewer) assigned by your company administrator. You agree to access only data and features for which you have been granted permission.

3. Acceptable Use

3.1 Permitted Use

You may use the Service solely for lawful business purposes in accordance with these Terms and all applicable laws and regulations.

3.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
• Access, tamper with, or use non-public areas of the Service or its underlying infrastructure.
• Attempt to probe, scan, or test the vulnerability of any BBTechAdvisors system or network without authorization.
• Attempt to circumvent any authentication, access control, encryption, or security mechanism of the Service.
• Use automated tools (bots, scrapers, crawlers) to access, copy, or monitor the Service without our prior written consent.
• Introduce malicious code, viruses, or harmful data into the Service.
• Upload, transmit, or store content that is illegal, infringing, defamatory, obscene, or otherwise objectionable.
• Share credentials stored in the Service with unauthorized third parties.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity, performance, or availability of the Service or data contained therein.
• Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent.

BBTechAdvisors reserves the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this Section.

4. Data Ownership and Responsibility

4.1 Your Data

You retain full ownership of all data, content, and information you upload, store, or transmit through the Service ("Your Data"). By using the Service, you grant BBTechAdvisors a limited, non-exclusive license to store, process, and transmit Your Data solely as necessary to provide and operate the Service.

4.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of Your Data. BBTechAdvisors does not verify or validate the content of Your Data and shall not be liable for any inaccuracies or errors in Your Data.

4.3 Sensitive Data

You acknowledge that the Service is designed to store sensitive credential and IT infrastructure information. You agree to use appropriate organizational access controls and to promptly remove or update credentials that are no longer valid or that may have been compromised.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and all other content provided by BBTechAdvisors (excluding Your Data), is owned by BBTechAdvisors or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right to use BBTechAdvisors's trademarks, logos, domain names, or other distinctive brand features without our prior written consent.

5.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

6. Privacy

Our collection, use, and disclosure of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to our privacy practices as described therein.

7. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, services, or resources. These links are provided for your convenience only. BBTechAdvisors has no control over the content, privacy policies, or practices of third-party websites and accepts no responsibility for them. We encourage you to review the terms and privacy policies of any third-party services you access through the Service.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at admin@bbtechadvisors.com. Termination of your account does not relieve you of any obligations accrued prior to termination.

8.2 Termination by BBTechAdvisors

We reserve the right to suspend or terminate your account, with or without notice, if:

• You violate any provision of these Terms.
• Your use of the Service poses a security risk to us or any third party.
• We are required to do so by law.
• We determine, in our sole discretion, that continued service is no longer commercially viable.

8.3 Effect of Termination

Upon termination, your right to access the Service immediately ceases. We may retain Your Data for a period consistent with our Privacy Policy and applicable legal obligations. You are responsible for exporting any data you wish to retain prior to account termination.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BBTECHADVISORS DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR
• THE SERVICE OR ITS SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BBTECHADVISORS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OF OR INABILITY TO USE THE SERVICE;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
• ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE;
• ANY DATA BREACH RESULTING FROM CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION AND WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF BBTECHADVISORS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless BBTechAdvisors and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Service;
• Your Data;
• Your violation of any third-party rights, including intellectual property or privacy rights; or
• Your violation of any applicable law or regulation.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims related to intellectual property or unauthorized access to the Service. The arbitration shall be conducted in English and shall take place in Texas. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND BBTECHADVISORS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice by updating the "Last Updated" date at the top of this page and by sending an in-Service notification or email to your registered address. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and BBTechAdvisors regarding the Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely without restriction.
• Force Majeure: BBTechAdvisors shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government action, internet outages, or power failures.
• Headings: Section headings are for convenience only and have no legal effect.
